Terms of Service

1. Agreement to Terms

By accessing or using ClosePanda's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Provided

ClosePanda provides B2B cold email outreach services, including but not limited to:

• Lead list research and verification
• Email copywriting and personalization
• Email infrastructure setup and management
• Campaign execution and monitoring
• Analytics dashboard and reporting

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using our services, you represent that you meet these requirements.

4. Account Registration

To use our services, you may need to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account and for all activities under your account.

5. Payment Terms

• Services are billed monthly in advance unless otherwise specified
• All fees are non-refundable except as stated in our refund policy
• You authorize us to charge your payment method for recurring fees
• Late payments may result in service suspension

6. Service Guarantee

If we fail to deliver the agreed number of qualified meetings in a given month, we will continue working at no additional cost until the target is met. "Qualified meeting" is defined as a scheduled call with a decision-maker matching your defined ICP.

7. Cancellation

You may cancel your service at any time with 30 days' notice. No long-term contracts are required. Cancellations will not be retroactive.

8. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Send spam, malware, or harmful content via our infrastructure
• Violate any applicable email regulations (CAN-SPAM, GDPR, CASL)
• Reverse-engineer, copy, or resell our services
• Use our services to compete with us

9. Intellectual Property

All content, software, and materials provided by ClosePanda are our intellectual property. You receive a limited, non-transferable license to use our services. Email copy and lead lists created for you become your property upon full payment.

10. Confidentiality

Both parties agree to maintain confidentiality of any proprietary information shared during the engagement. This obligation survives termination of services.

11. Limitation of Liability

To the maximum extent permitted by law, ClosePanda shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold ClosePanda harmless from any claims arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services ceases immediately.

14. Governing Law

These Terms are governed by the laws of the jurisdiction where ClosePanda is registered, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use after changes constitutes acceptance.
